I Didn’t Do That! Dealing with Vicarious Liability Issues

On October 16-17, 2025, Associate Rachel E. Canna will co-present “I Didn’t Do That! Dealing with Vicarious Liability Issues” at the ABA Forum on Franchising.

Rachel will join Harris Chernow of Reger Rizzo & Darnall, LLP, and Kristy Miamen of Dady & Gardner, P.A., to explore various issues that arise when a franchisor is named in a lawsuit brought by a third party involving a franchisee’s business.

Topics of discussion will include:

  • various theories of vicarious liability within franchising, such as agency law and other related tests;
  • developing vicarious liability caselaw in the franchise context, including recent cases brought against hotel franchisors under the Trafficking Victims Protection Reauthorization Act; and
  • practical guidance about how a franchisor might respond when brought into litigation for the actions or inactions of its franchisee, and how the franchisor might avoid vicarious liability with a pen—through various drafting considerations.
