Andrew Bauer is a trusted advisor and problem solver who brings experience both as a general counsel for multiple technology companies and as a federal prosecutor.ย  In his practice, Andrew serves as outside general counsel to companies of all sizes, with a particular focus on startups and technology-driven businesses, helping clients across a range of industries navigate complex and sensitive matters, including general corporate, regulatory and compliance, governance, internal and government investigations, white collar criminal defense, high-stakes litigation, and employment matters. Before joining Wiggin and Dana, Andrew worked in-house at a number of venture-backed companies.ย  First, Andrew worked at One Zero Capital, a venture capital firm, serving as General Counsel and Deputy General Counsel to two of One Zeroโ€™s portfolio fintech companies, Better Mortgage and Notable Finance. Thereafter, he worked as Deputy General Counsel and Corporate Secretary to Pagaya Technologies, an artificial intelligence (AI) powered fintech also operating in the lending space. Andrewโ€™s experience operating in highly regulated industries (lending, mortgage, real estate, AI, investment management) provides significant value to similarly situated companies. Andrew is comfortable advising companies at all stages of growth, ranging from boot-strapping founders to public companies.

Earlier in his career, Andrew served as an Assistant United States Attorney in the US Attorneyโ€™s Office for the Southern District of New York (SDNY), where he was a member of the Securities and Commodities Fraud Task Force. Andrew led investigations and prosecutions involving securities fraud, insider trading, and other complex frauds. He also conducted investigations into alleged violations by pharmaceutical manufacturers of the False Claims Act, the Anti-Kickback Statute and other statutes.

Drawing on his unique combination of in-house corporate, enforcement, and litigation experience, Andrew speaks the language of entrepreneurs and provides clients with comprehensive support, with a focus on commercial transactions, employment law, corporate governance, dispute resolution, product counseling, intellectual property, and data privacy.

Andrew is an experienced trial lawyer, and has briefed and argued numerous appeals before the U.S. Court of Appeals for the Second Circuit.

He is admitted to the bar of the State of New York, the Federal District Courts for the Southern District of New York and the Eastern District of New York, and the U.S. Courts of Appeals for the Second and Fifth Circuits.
