David Rand is an Associate in the firm’s Corporate Department, practicing in the Emerging Companies and Venture Capital Practice Group. He is also a member of wiggin(x).
David advises technology and life sciences companies across all stages of growth from formation through exit, as well as venture capital and corporate venture capital investors, on a wide range of corporate and financing matters.
David’s practice focuses on serving as outside general counsel to emerging companies, guiding founders, executives, and boards through corporate governance, capitalization matters, commercial agreements, employment and equity compensation issues, intellectual property considerations, and investor relations. He regularly leads venture capital financings from term sheet through closing, including SAFE and convertible note rounds, preferred equity financings from Series Seed through late-stage rounds, recapitalizations, secondary transactions, and tender offers.
He has advised clients across a board range of industries, including AI, apparel, consumer products, cybersecurity, e-commerce, electric vehicles, financial technology, gaming, healthcare technology, insurance technology, legal and regulatory technology, life sciences, media, medical devices, parenting technology.
In addition to his company-side work, David represents venture capital funds, growth equity funds, and corporate venture capital groups in early‑stage and growth‑stage investments. He is also active in the startup community in New York City and Connecticut, and has led workshops and office hours for startup founders through the NYU Entrepreneurial Institute, presented on venture financing topics at Cornell Tech, and mentored startup founders from Yale University.
Prior to joining Wiggin and Dana, David was a senior associate in the Startup and Venture Capital Group at a leading technology and life sciences law firm based in Silicon Valley. Before that, David practiced at two other prominent international law firms in New York, where he represented technology startups and venture capital investors, lenders and underwriters in debt finance and capital markets transactions, and publicly held middle-market companies in public reporting and mergers and acquisitions.
David earned his B.A. in Economics and B.B.A. in Corporate Finance, summa cum laude, from Macaulay Honors College at CUNY Queens College. He received his J.D. from New York University School of Law, where he served as a Staff Editor for the Journal of Law & Business and participated in the Business Transactions Clinic.
