Adam is a start up and venture capital lawyer who advises founders, growth stage companies and their investors on the legal and strategic issues that shape their businesses. A Partner in the firmโs Corporate Department and a member of wiggin(x), he works with clients from formation through exit, helping to navigate pre-seed through Series-[X] financings, commercial agreements, mergers and acquisitions, and governance matters.
Known for his collaborative, business minded approach, Adam often serves as a true partner to founders and executive teams. He regularly leads cross disciplinary teams providing outside general counsel services, helping clients navigate day to day legal needs while keeping long term strategy in focus.
Adamโs practice spans a wide range of industries including technology, life sciences, climate and clean tech, manufacturing, and health tech/telehealth with a particular emphasis on early stage companies. He also counsels clients on federal regulatory clearance for mergers and acquisitions, advising on compliance with the Hart Scott Rodino (HSR) Act.
Before joining the firm, Adam practiced at a global AmLaw 100 firm, where he handled regulatory, transactional, and litigation matters involving environmental law. Earlier in his career, he worked in the music industry as a manager and record label executive, which gave him a unique perspective on creative businesses and the challenges entrepreneurs face.
Adam earned his J.D. cum laude from the Benjamin N. Cardozo School of Law, where he served as an Associate Editor of the Cardozo Arts & Entertainment Law Journal. He holds a B.A. in English from the University of Connecticut.

- Represented Exela Technologies, Inc. (โExelaโ or โthe Companyโ) (NASDAQ: XELA), a global business process automation (BPA) leader, in its strategic investment in UBERDOC, Inc. UBERDOC is a leading patient access and price transparency platform that connects patients to top doctors.
- Represented Swedencare AB (publ) (โSwedencareโ), a listed company on NASDAQ First North Growth Market that specializes in pet healthcare, in connection with Swedencareโs $475 million acquisition of The Garmon Corporation d/b/a NaturVet, a California-based pet supplement manufacturer.
- Represented BroadcastMed, Inc., a company that provides healthcare video content marketing and education in connection with the sale of all its equity securities to an affiliate of 424 Capital, a Wakefield, Massachusetts based private equity firm.
- Represented Triax Technologies, a Connecticut-based technology company that develops and delivers IoT technology for the construction industry, in raising $12.5 million in its Series A Fundraising.
- Represented fintech company LoanBeam, a provider of income calculation and verification technology endorsed by government-sponsored entities (GSEs) Fannie Mae and Freddie Mac, in connection with its sale to LoanLogics.
- Represented Inbox Health, a platform modernizing patient billing, in raising $15 million in its Series A Fundraising.
- Represented DMG Media, publisher of the worldโs largest English language newspaper website DailyMail.Com (MailOnline), announced the acquisition of U.S. โ based news website Elite Daily, a global leader in social media content for millennials.
- Represented Probi AB, a Swedish publicly traded bioengineering company that develops effective and well documented probiotics (โProbiโ), in connection with the signing of an asset purchase agreement under which Probi will acquire the operations of TNTGamble, Inc. d/b/a Nutraceutixยฎ, a leading U.S. manufacturer and supplier of probiotics, headquartered in Redmond, WA, with operations in Lafayette, CO.
- Represented BeoCare Group, Inc., a subsidiary of Luxembourg-based private equity firm Leeward Ventures, in its acquisition of the specialty medical textile business of Shelby Elastics of North Carolina LLC. BeoCare, a leading OEM contract manufacturer of knitted textile products used in a wide range of applications in hospitals and long-term care facilities, will continue to operate Shelby Elastics as an independent division of BeoCare from its current location in Shelby, North Carolina.
- Represented ViskoTeepak Holding Ab Ltd., a Finnish company, and its wholly-owned U.S. subsidiary, ViskoTeepak U.S. Holdings, Inc., in the acquisition of all of the membership interests of Vista International Packaging, LLC.
