Kristina Wesch is a Partner and Chair of Wiggin and Dana’s Health Care Practice Group, where she advises health care organizations, investors, and nonprofit entities on complex regulatory, transactional, and corporate matters. With over 20 years of experience, Kristina brings a practical, business focused approach to helping clients navigate highly regulated environments, structure strategic transactions and manage risk.

Kristina represents both for-profit and not-for-profit clients across the health care industry, including hospitals and health systems, large medical groups, ambulatory surgery centers, physician management companies, post-acute care providers, skilled nursing facilities (SNFs), continuing care retirement communities (CCRCs) and other providers of long-term care. She regularly counsels clients on general corporate and contracting matters, compliance issues, mergers and acquisitions, divestitures, joint ventures, healthcare finance and lending transactions, licensing (including certificates of need), and restructurings and reorganizations. She also frequently serves as outside general counsel to her clients. In addition, she advises clients on fraud and abuse issues including the Corporate Practice of Medicine and related State laws, the Anti-Kickback Statute and Stark Law, helping clients structure compliant programs transactions and business relationships.

Kristina also routinely represents private equity firms investing in health care companies. She guides investors through every stage of an acquisition including letters of intent, due diligence, deal structuring and negotiation and closing. In addition, she has significant experience representing health care providers in Bankruptcy Court matters, including representation of bidders in 363 sales and asset acquisitions, and representation of debtors in Chapter 11 Bankruptcy Cases.

Building on her work with not-for-profit healthcare clients, Kristina has developed substantial experience advising nonprofit corporations across all industries in affiliations, disaffiliations, mergers, member substitutions, dissolutions, organizational matters, corporate governance, fiduciary duties, distressed situations, and bankruptcies. She assists clients with obtaining and maintaining tax-exempt and public charity status and compliance with New York State nonprofit laws.

Kristina serves on the LeadingAge New York Continuing Care Retirement Community Cabinet and is active in several professional organizations, including the American Bar Association’s Health Law Section; the American Health Law Association (AHLA), where she has served as a speaker; the American Bankruptcy Institute, where she previously served as a Coordinating Editor for the American Bankruptcy Institute Journal’s Intensive Care column. She also sits on the New York City Bar Association’s Bankruptcy & Corporate Reorganization Committee and the Health Law Committee.

Kristina earned her J.D. from St. John’s University School of Law where she participated in Law Review. She received her B.A. from Queens College, CUNY. She is admitted to practice in the States of California, Connecticut and New York, as well as in several Federal Courts.
